Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. Resignation of Mark Hawkins On June 24, 2014, Mark J. Hawkins informed Autodesk, Inc. (the "Company") of his intention to resign as executive vice president and chief financial officer to take a position outside the design software industry. Mr. Hawkins will remain with the Company through the end of July.

Item 7.01. Regulation FD Disclosure. The Company issued a press release dated June 30, 2014 regarding the events described in Item 5.02. In the press release, the Company also updated its business outlook for the second quarter and full-year fiscal 2015. A copy of the press release is furnished as Exhibit 99.1 hereto.
