W. Paul Bowers Elected in 2001. Chief Executive Officer, President, and Director of Georgia Power since December 31, 2010 and Chief Operating Officer of Georgia Power from August 13, 2010 to December 31, 2010. He previously served as Executive Vice President and Chief Financial Officer of Southern Company from February 2008 to August 12, 2010. He also served as Executive Vice President of Southern Company from May 2007 to February 2008 and as President of Southern Company Generation, a business unit of Southern Company, and Executive Vice President of SCS from May 2001 through January 2008.

Michael D. Garrett, Elected in 2004. Executive Vice President since January 2004. He also serves as President and Director of Georgia Power since January 2004 and Chief Executive Officer of Georgia Power since April 2004. On November 17, 2010, Michael D. Garrett, currently President and Chief Executive Officer of Georgia Power Company, a member of Georgia Powers Board of Directors and Executive Vice President of The Southern Company, announced that he will retire on December 31, 2010.

Art P. Beattie Elected in 2010. Executive Vice President and Chief Financial Officer since August 13, 2010. Previously served as Executive Vice President, Chief Financial Officer, and Treasurer of Alabama Power from February 2005 through August 12, 2010.

Charles D. McCrary Elected in 1998. Executive Vice President since February 2002. He also serves as President, Chief Executive Officer, and Director of Alabama Power since October 2001.

As Southern Companys Chairman of the Board, Chief Executive Officer, and President, Mr. Ratcliffe is uniquely qualified to serve on the Board. As an employee with more than 39 years of service, Mr. Ratcliffe understands the electric utility business, the regulatory structure, and other industry-specific matters that affect Southern Company. He is also a Director of CSX Corporation where he currently serves on the Executive, and Operations and Public Affairs Committees and as Chair of the Finance Committee. Other directorships: CSX Corporation, Alabama Power, Georgia Power, and Southern Power. On July 27, 2010, The Southern Company announced that David M. Ratcliffe, Chairman, President and Chief Executive Officer of Southern Company, will retire effective December 1, 2010.

G. Edison Holland, Jr. Elected in 2001. Secretary since April 2005 and Executive Vice President and General Counsel since April 2001.

Mr. Fanning, has served as Executive Vice President and Chief Operating Officer of Southern Company since February 2008. Mr. Fanning previously served as Executive Vice President and Chief Financial Officer of Southern Company from May 2007 through January 2008 and as Executive Vice President, Chief Financial Officer and Treasurer of Southern Company from April 2003 to May 2007. On July 27, 2010, the Compensation and Management Succession Committee of the Southern Company Board of Directors (the Compensation Committee) approved changes in base salary and annual performance-based compensation target (Target) in connection with the change in position. Effective August 1, 2010, Mr. Fannings base salary will be $950,000 per year and his Target will be 105% of base salary. Thomas A. Fanning, currently Executive Vice President and Chief Operating Officer of Southern Company, has been elected by the Southern Company Board of Directors as President of Southern Company, effective August 1, 2010, and as Director, Chairman of the Board, President and Chief Executive Officer of Southern Company, effective December 1, 2010.
