Denis Hennequin, 51, is President of McDonalds Europe, a position he has held since July 2005. From January 2005 to July 2005, he served as Senior Vice President and International Relationship Partner. From January 2004 to January 2005, he served as Vice President of McDonalds Europe. Prior to that time, he served as President and Managing Director of McDonalds France from December 1996 to January 2004. Mr. Hennequin has been with the Company for 25 years. On November 1, 2010, Denis Hennequin notified McDonalds Corporation that he would resign as President of McDonalds Europe, effective November 30, 2010 to become Chief Executive Officer of the Accor Hotels Group.

Mr. Thompson, 48, served as President of McDonald\'s USA, LLC (McDonald\'s USA), a McDonald\'s subsidiary, since August 2006. Prior to that role, Mr. Thompson served as Executive Vice President and Chief Operations Officer for McDonald\'s USA from January 2005 to August 2006, and Executive Vice President, Restaurant Solutions Group of McDonald\'s from May 2004 to January 2005. Thompson began his career at McDonalds as an electrical engineer in 1990 before moving to the operations side of the business. He has since held a variety of leadership positions including U.S. Chief Operating Officer, Executive Vice President and Division President, and President of McDonalds USA. Thompson serves on the board of directors for the Exelon Corporation in Chicago, one of the nations largest electric companies, and at Northwestern Memorial Hospital. He also serves on the board of trustees for Purdue University, and is a member of the Executive Leadership Council, an organization comprised of the nations most-recognized African-American executives. He has been with McDonald\'s for 19 years. Effective January 11, 2010, Donald Thompson was elected President and Chief Operating Officer of McDonald\'s Corporation. On January 27, 2011, the Board of Directors of McDonalds Corporation elected Donald Thompson, the Companys President and Chief Operating Officer, as a member of the Board.

Timothy J. Fenton, 54, is President, McDonalds Asia/Pacific, Middle East and Africa, a position he has held since January 2005. From May 2003 to January 2005, he served as President, East Division for McDonalds USA. Mr. Fenton has been with the Company for 38 years.

Peter J. Bensen, 49, is Corporate Executive Vice President and Chief Financial Officer, a position he has held since January 2008. From April 2007 through December 2007, he served as Corporate Senior Vice PresidentController. Prior to that time, Mr. Bensen served as Corporate Vice PresidentAssistant Controller from February 2002 through March 2007. Mr. Bensen has been with the Company for 15 years.

Janice L. Fields, 56, is President, McDonalds USA, a position she has held since January 2010. She previously served as Executive Vice President and Chief Operations Officer for McDonalds USA from August 2006 to January 2010, and President, Central Division of McDonalds USA from May 2003 to August 2006. Ms. Fields has been with the Company for 33 years.

James A. Skinner, 67, is Vice Chairman and Chief Executive Officer, a post to which he was elected in November 2004, and also has served as a Director since that date. He served as Vice Chairman from January 2003 to November 2004. Mr. Skinner has been with the Company for 40 years.
